Letter of Intent — HatiData Founding 20 Program
Review the terms below and apply to join the Founding 20 with 90 days of free evaluation and a named HatiData engineer.
This non-binding Letter of Intent ("LOI") expresses mutual interest between the undersigned company ("Partner") and Marviy Pte Ltd ("HatiData") in participating in the HatiData Founding 20 Program.
1. Purpose
Partner intends to evaluate HatiData's in-VPC cloud data warehouse as a potential replacement or complement to their existing cloud data warehouse solution. HatiData intends to provide Partner with early access, dedicated support, and preferential pricing during the evaluation period.
2. Data Residency
HatiData deploys entirely within Partner's VPC on AWS, GCP, or Azure. No customer data leaves Partner's cloud account. All query processing occurs on Partner-owned compute resources. HatiData's control plane communicates via private connectivity (PrivateLink, Private Service Connect, or Private Endpoint) and never accesses raw data.
3. Security Obligations
HatiData will maintain SOC 2 Type II compliance. All data at rest is encrypted using Partner's KMS keys (CMEK). Audit logs are immutable and stored in Partner's S3 bucket. HatiData supports Partner's existing IAM roles and SSO providers.
4. Evaluation Terms
The Founding 20 Program evaluation period is 90 days from deployment. During this period, Partner receives: (a) unlimited query volume, (b) dedicated Slack channel with a named HatiData engineer, (c) 70% discount off list pricing, and (d) priority feature requests.
5. Pricing Intent
Following a successful evaluation, Partner and HatiData intend to negotiate a commercial agreement based on HatiData's per-second compute billing model. Founding 20 members receive a permanent pricing lock at launch-day rates.
6. Non-Binding
This LOI is a statement of intent only and does not create any binding obligation on either party. Either party may withdraw at any time. A binding agreement, if any, will be executed separately.
